Terms of Service

Effective September 7, 2026 · KŌINIbōōks is operated by KOINI Global, LLC (“KŌINI”, “we”, “us”)

1. The service

KŌINIbōōks (the “Service”, at books.koini.io) reads publicly available blockchain data for wallet addresses you provide and files you upload, records the classifications and other decisions you make about that evidence, computes lots, gains, income and fees from your decisions under the cost-basis method and country you select, and produces reports and exports. The Service never changes a decision you have recorded; a re-import can only add new evidence or flag that evidence changed.

We only ever ask for public wallet addresses and exports. We never request, accept or store private keys, seed phrases, exchange API secrets or passwords, and nobody acting for KŌINI will ever ask you for them.

2. Informational only — not tax advice

The Service is a bookkeeping and calculation tool. It is not tax, legal, accounting or financial advice, and using it does not create a professional or fiduciary relationship with us. Tax law is complex, changes often, and depends on facts we cannot see. Country templates present rules as labelled steps for your review; where a country's official method is not supported the report says so. You and your advisor are responsible for reviewing the output and for what you file. We strongly recommend review by a qualified professional before filing.

3. Your books, your responsibility

• You decide what each row is. Categories, transfer matches, funding sources, cost-basis overrides, lot selections, rules and period closes are your assertions, and the audit log attributes them to the person who made them.
• You are responsible for adding every account that belongs in the books, for choosing the correct country, reporting currency, tax year and a cost-basis method permitted for you, and for resolving every warning before relying on a figure.
• Blockchain data, token metadata, historical prices and exchange rates come from third-party sources and are recorded as evidence. We cannot guarantee they are complete or correct; unpriced or unmatched items are flagged, never guessed.
• You must only add wallets and accounts you own or are authorised to keep books for, and you must only invite people entitled to see those books.

4. Accounts, invitations and security

You sign in with a one-time code sent to your email address. You may invite others (for example your accountant) into a client file with a trader or CPA role; they can post and change assertions in that file, and only the trader role can reopen a closed period. You are responsible for who you invite and for activity under your account. Keep your email account secure. You must be at least 18 years old to use the Service.

5. Fees and refunds

Plans are bought per client file, per tax year, at the prices published on books.koini.io and shown to you at checkout before you pay. Each purchase is a one-time payment for that file and tax year; nothing renews automatically, and we never charge you without your explicit purchase. A plan sets the number of posted lines and the documents the Service will build for that tax year; it does not change, hide or recalculate anything you have posted. Upgrading within a tax year charges the difference between plans. Payments are processed by Stripe; we do not store your card details. Any discount (for example for KŌINItax customers) applies only as described at checkout.

Refunds. You may request a full refund of a purchase within 7 days of payment, from the Plan tab of the client file, provided no PDF report or CPA bundle has been downloaded for that tax year. Once such a document has been downloaded the purchase is final. After a refund the file returns to the plan it had before that purchase; your books are not affected. Refunds are returned to the original payment method.

6. Acceptable use

Do not use the Service to break the law, to evade tax, to keep books for wallets you have no right to report on, to probe or overload our systems, to resell or scrape the Service, or to reverse-engineer it. We may suspend accounts that do.

7. Your data and documents

Our Privacy Policy explains what we collect and why. You own your books; every export is yours to keep. You can delete a client file at any time, and your whole account by emailing support@koini.io.

8. Availability and changes

We aim for the Service to be available at all times but do not guarantee it. We may change or discontinue features; if we discontinue the Service we will give at least 60 days' notice and keep exports available during that time.

9. Warranties and liability

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including accuracy, fitness for a particular purpose and non-infringement. To the fullest extent permitted by law, KŌINI is not liable for any indirect, incidental, special, consequential or punitive damages, or for any tax, penalty, interest or loss arising from your use of the Service or your filing, and our total liability for any claim is limited to the greater of USD 100 or the amount you paid us in the 12 months before the claim. Some jurisdictions do not allow these limits; where that is the case they apply to the extent permitted.

10. Governing law and disputes

These terms are governed by the laws of the State of Michigan, United States, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Macomb County, Michigan, and you consent to their jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction. If you are a consumer in a country whose law gives you additional non-waivable rights, those rights are not affected.

11. Changes and contact

We may update these terms; we will post the new version here and, for material changes, notify you by email at least 30 days before they take effect. Continued use after that date means you accept the new terms. Questions: support@koini.io, KOINI Global, LLC.
